This Master Terms of Service Agreement (“Agreement” or “Terms”) is entered into by and between digihostingservices.com (“Company,” “We,” “Us,” or “Our”) and the individual or legal entity subscribing to or utilizing our services (“Customer,” “Client,” “You,” or “Your”). By purchasing, accessing, or using any web hosting, dedicated server, virtual private server (VPS), domain name, or technical service provided by digihostingservices.com, you expressly agree to be bound by all terms, conditions, policies, and schedules contained herein.

1. Account Registration, Eligibility & Security

1.1 Account Eligibility

To register for an account, you must be at least eighteen (18) years of age or possess the legal capacity to enter into binding contracts under applicable law. You warrant that all registration information provided (including full legal name, business entity status, physical address, phone number, and billing details) is truthful, accurate, and current.

1.2 Account Security

Customer assumes full responsibility for maintaining the confidentiality of account credentials, API keys, and administrative access points. You are fully liable for all activity, bandwidth utilization, and charges incurred under your account. You must notify digihostingservices.com immediately of any unauthorized account access or security breach.

2. Acceptable Use Policy (AUP) Integration

This Agreement fully incorporates the digihostingservices.com Acceptable Use Policy (AUP). Customer agrees that server resources and network infrastructure shall not be utilized for any prohibited activity.

2.1 Prohibited Content

Customer shall not host, transmit, store, or display material that violates federal, state, or international laws. Strictly prohibited content includes, but is not limited to:

  • Pirated software, unauthorized media distribution (warez), trade secret violations, or counterfeit goods.
  • Malicious software, including ransomware, keyloggers, botnet control nodes, trojans, or exploit kits.
  • Phishing web pages, brand impersonation sites, credential harvesters, or deceptive identity schemes.
  • Content promoting child exploitation (subject to immediate zero-tolerance account termination and law enforcement reporting), human trafficking, or severe unlawful violence.
  • Public proxy/VPN tunnels, open mail relays, torrent trackers, IRC daemons, or cryptocurrency mining scripts.

2.2 Email & Messaging Policies (Zero Spam Tolerance)

digihostingservices.com strictly prohibits Unsolicited Commercial Email (UCE) and Unsolicited Bulk Email (UBE). Hosting accounts must not be used to send mass emails to unverified or purchased email lists. Outbound mail lists must utilize explicit opt-in confirmation (double opt-in recommended) and provide a working, single-click unsubscribe link in compliance with the CAN-SPAM Act and GDPR regulations. Accounts causing IP blocklisting (e.g., Spamhaus, SORBS) will be immediately suspended and subject to administrative clean-up fees.

2.3 System & Network Resource Standards

Shared hosting customers must not run persistent background daemons, automated web scrapers, or continuous high-load database queries that cause degraded performance for neighboring tenants on shared hardware. digihostingservices.com reserves the right to throttle or isolate accounts exceeding normal usage baselines.

3. Service Level Agreement (SLA) & Uptime Commitments

3.1 99.9% Monthly Uptime Guarantee

digihostingservices.com guarantees a 99.9% monthly network and server availability target for core hosting infrastructure. Uptime is calculated per calendar month across primary network routing and server systems managed by digihostingservices.com.

3.2 SLA Service Credit Schedule

In the event that digihostingservices.com fails to maintain the guaranteed 99.9% monthly availability, eligible clients may request a billing credit according to the following schedule:

90.0% – 94.99% 50% Service Credit

3.3 SLA Credit Claim Procedure & Exclusions

Credit requests must be submitted to billing@digihostingservices.com within fourteen (14) calendar days following the end of the month in which the downtime occurred. SLA credits apply exclusively to future recurring hosting fees and cannot exceed 100% of the customer’s monthly base fee.

Exclusions: Outages resulting from scheduled or emergency maintenance, client script/application bugs, domain/DNS propagation delays, external ISP failure, network-level DDoS attacks beyond reasonable mitigation parameters, or account suspensions under the AUP are excluded from SLA credit calculations.

4. Maintenance & Hardware Commitments

4.1 Scheduled Maintenance

Routine maintenance required to update operating systems, security patches, network switches, or host infrastructure will be communicated at least 48 hours in advance via email or portal notices. Scheduled maintenance is conducted during off-peak hours (12:00 AM – 5:00 AM local server time) whenever possible.

4.2 Emergency Maintenance & Hardware Replacement

For critical zero-day vulnerabilities, active physical failures, or severe security risks, emergency maintenance may be executed immediately without prior notice. For dedicated and managed instance clients, digihostingservices.com guarantees hardware replacement initiation within four (4) hours of verified component failure (CPU, RAM, motherboard, NIC, or storage controller).

5. Billing, Renewal, Cancellation & Refunds

Services are billed in advance on a recurring monthly, annual, or multi-year cycle depending on the plan selected. Subscriptions renew automatically unless canceled at least seven (7) days prior to the billing renewal date via the client portal. Unpaid invoices past seven (7) days are subject to automatic account suspension, and accounts unpaid past fourteen (14) days are subject to permanent termination and data destruction.

6. Backups, Data Protection & Loss

Important Data Notice: Customer is solely responsible for maintaining current off-site data backups. While digihostingservices.com may perform routine system snapshots for disaster recovery purposes, we do not guarantee the completeness, integrity, or availability of automated backups.

Under no circumstances shall digihostingservices.com be held liable for loss of data, corrupted databases, or website files resulting from hardware failure, account termination, cyberattacks, or client configuration errors.

7. Limitation of Liability & Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGIHOSTINGSERVICES.COM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE OUR SERVICES.

OUR TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY CUSTOMER TO DIGIHOSTINGSERVICES.COM IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

8. Indemnification

Customer agrees to defend, indemnify, and hold harmless digihostingservices.com from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or related to Customer’s content, breach of this Agreement, violation of the AUP, or infringement of third-party intellectual property rights.

9. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which digihostingservices.com operates, without regard to conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts of competent jurisdiction.
